Warning regarding professional vs retail categorisations
The main differences in regulatory protections afforded retails clients vs. professional clients are:
- When Aprirose Limited (together, “we” and the “Firm”)) communicate with retail clients, we have to comply, and our communications have to meet, certain standards and requirements that do not apply when we are communicating with professional clients.
- We have to give retail clients information about our services and remuneration that we are not always obliged to give to professional clients.
- Professional clients do not have the right to complain to the Financial Ombudsman Services (“FOS”) in the UK, and they are unlikely to have the right to complain to equivalent organisation in the EU.
- Professional clients do not usually have a right to claim compensation from the Financial Services Compensation Scheme (“FSCS”) in the UK, and they are unlikely to have a right to claim compensation from equivalent organisations in the EU.
- Pre-requirements for the entry into written basic agreements for designated investment business may not apply to professional clients.
- If we manage investments for a professional client, we are entitled to assume that, in relation to the products, transactions and services for which the professional client is so classified, the client has the necessary level of experience and knowledge for the purposes of any required suitability assessments, and if we are required to provide suitability reports to a retail client, in some cases we may not be required to provide them to a professional client.
- With respect to non-advised services, we are not required to request information or to adhere to the same procedures when assessing the appropriateness of a given service or product for a professional client, and we may not be required to give warnings to the professional client if we cannot determine appropriateness with respect to a given services or product.
- At any point in time, you may request re-categorisation as a client that benefits from a higher degree of protection, though this may mean that Aprirose Limited may no longer be able to provide investment services that you require.
- In addition, for your protection, Aprirose Limited will re-assess your continued classification as a professional client on an annual basis (based on the information that they hold or any information we require) to ensure that you are receiving an appropriate level of service.
